When The institution is threatened with suit or sued by a third party, The institution may seek written assurances from you concerning your promise to indemnify The institution ; your failure to provide such assurances may be considered by The institution to be a material breach of this Agreement. The institution will have the right to participate in any defense by you of a third-party claim related to your use of any of the Website content or Products, with counsel of The institution choice at its expense. The institution will reasonably cooperate in any defense by you of a third-party claim at your request and expense. You will have sole responsibility to defend The institution against any claim, but you must receive The institution prior written consent regarding any related settlement. The terms of this provision will survive any termination or cancellation of this Agreement or your use of the Website or Products.

VIII. GENERAL

Force Majeure. The institution will not be deemed in default hereunder or held responsible for any cessation, interruption or delay in the performance of its obligations hereunder due to earthquake, flood, fire, storm, natural disaster, act of God, war, terrorism, armed conflict, labor strike, lockout, or boycott. Neither you nor The institution will commence or prosecute any suit, proceeding or claim to enforce the provisions of this Agreement, to recover damages for breach of or default of this Agreement, or otherwise arising under or by reason of this Agreement, other than in courts located in India By using this Website or ordering Products, you consent to the jurisdiction and venue of such courts in connection with any action, suit, proceeding or claim arising under or by reason of this Agreement. You hereby waive any right to trial by jury arising out of this Agreement and any related documents. Statute of Limitation. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Website or Products or this Agreement must be filed within one (1) year after such claim or cause of action arose or be forever barred. Waiver of Class Action Rights.
BY ENTERING INTO THIS AGREEMENT, YOU HEREBY IRREVOCABLY WAIVE ANY RIGHT YOU MAY HAVE TO JOIN CLAIMS WITH THOSE OF OTHER IN THE FORM OF A CLASS ACTION OR SIMILAR PROCEDURAL DEVICE. ANY CLAIMS ARISING OUT OF, RELATING TO, OR CONNECTION WITH THIS AGREEMENT MUST BE ASSERTED INDIVIDUALLY. Termination.
The institution reserves the right to terminate your access to the Website if it reasonably believes, in its sole discretion, that you have breached any of the terms and conditions of this Agreement. Following termination, you will not be permitted to use the Website and The institution may, in its sole discretion and without advance notice to you, cancel any outstanding orders for Products. The institution makes no representation that the Website or Products are appropriate or available for use in locations outside India. Users who access the Website from outside India do so at their own risk and initiative and must bear all responsibility for compliance with any applicable local laws. Assignment. You may not assign your rights and obligations under this Agreement to anyone.
The institution may assign its rights and obligations under this Agreement in its sole discretion and without advance notice to you. BY USING THIS WEBSITE OR ORDERING PRODUCTS FROM THIS WEBSITE YOU AGREE TO BE BOUND BY ALL OF THE TERMS AND CONDITIONS OF THIS AGREEMENT.

 

IX REFUNDS, CHARGEBACKS AND DISPUTES

 

  1.      Refund And Cancellation: Refund request on any transaction made through institution website has to be raised by the Institution under which the payment was made. The Institution alone holds the right to request a refund for the transaction made under its account. If a customer is unsatisfied with the payment that he or she has made, then he has to take a copy of the receipt of Transaction to the Institution towards which the payment was made, and ask them to initiate a Refund request.
  2.      Refund For Charge Back Transaction: In the event there is any claim for/ of charge back by the User for any reason whatsoever, such User shall immediately approach institution with his/ her claim details and claim refund from institution alone. Such refund (if any) shall be effected only by institution via payment gateway or by means of a demand draft or such other means as institution deems appropriate. No claims for refund/ charge back shall be made by any User to the Payment Service Provider(s) and in the event such claim is made it shall not be entertained.
  3.      In these Terms and Conditions, the term "Charge Back" shall mean, approved and settled credit card or net banking purchase transaction(s) which are at any time refused, debited or charged back to merchant account (and shall also include similar debits to Payment Service Provider's accounts, if any) by the acquiring bank or credit card company for any reason whatsoever, together with the bank fees, penalties and other charges incidental thereto.
  4.     Refund for fraudulent/duplicate transaction(s): The User shall directly contact institution for any fraudulent transaction(s) on account of misuse of Card/ Bank details by a fraudulent individual/party and such issues shall be suitably addressed by institution alone in line with their policies and rules.
  5.      Server Slow Down/Session Timeout: In case the Website or Payment Service Provider's webpage, that is linked to the Website, is experiencing any server related issues like ‘slow down' or ‘failure' or ‘session timeout', the User shall, before initiating the second payment,, check whether his/her Bank Account has been debited or not and accordingly resort to one of the following options
    1.      In case the Bank Account appears to be debited, ensure that he/ she does not make the payment twice and immediately thereafter contact institution via e-mail or any other mode of contact as provided by institution to confirm payment.
    2.     In case the Bank Account is not debited, the User may initiate a fresh transaction to make payment.
  6.      However, the User agrees that under no circumstances the Payment Gateway Service Provider shall be held responsible for such fraudulent/duplicate transactions and hence no claims should be raised to Payment Gateway Service Provider No communication received by the Payment Service Provider(s) in this regards shall be entertained by the Payment Service Provider(s).
